The firm is very experienced in acting for US clients investing into the UK, in particular high technology clients. Our work includes mergers, acquisitions and joint ventures and shareholder investment.
US inward investment can often involve intellectual property aspects. We negotiate and draft commercial agreements including IP agreements (patents, trademarks, design and copyright and technology transfer) and pursue protection of rights. Our IP work includes conducting IP audits and advising on competition law compliance procedures. We are also experienced in the areas of manufacture and supply agreements, distribution and agency, advertising, franchising and merchandising.
We advise US clients on employment law matters, both non-contentious and contentious, since employment law is often driven by European Union Directives and differs in many respects to that with which US employers are familiar. We are well known for our litigation work for business clients and this includes handling a wide range of contractual and commercial disputes and arbitration.
We understand the estate planning and taxation issues which affect US citizens and residents, in particular the fact that US citizens are usually taxed on their worldwide income and estate, regardless of where they live. More importantly, we understand how these matters interact with UK taxation and estate planning and we advise on how to mitigate tax for cross-border clients whether you are an American moving to, or married to someone from, the UK or vice versa. We regularly prepare Wills and trusts for clients which dramatically reduce the tax they would otherwise face in both the UK and the US.
We can also provide immigration advice, reputation management, and matrimonial advice including the preparation of pre-nuptial agreements and have considerable experience in working with your local US lawyers to protect your rights on both sides of the Atlantic.
US law firms
A large number of our partners have worked with US law firms to pursue their clients’ interests in England – in particular law firms in New York, Washington and Boston but also from other areas of the USA. Where it has related to litigation we have provided assistance not only in pursuing English litigation but in assisting with US litigation including enforcement of US judgments. We have acted for many US law firms in taking depositions in England for use in US court proceedings.
